1. Agreement to Terms

VisibleDot provides digital marketing and technology services including but not limited to:

  • Google Ads & Meta Ads management
  • Social media management
  • AI promotional video production
  • School ERP solutions (SikshaMitra)
  • Business automation
  • Branding & graphic design

Specific deliverables, timelines, and pricing are determined on a per-project basis and outlined in individual proposals or service agreements.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for us to deliver services.
  • Supply content, credentials, and assets (logos, images, copy) in a timely manner when requested.
  • Review and approve deliverables within agreed timelines; delays in feedback may affect project schedules.
  • Ensure that all content you provide is lawful and does not infringe on any third-party rights.

4. Payment Terms

  • Payment terms are specified in the project proposal or service agreement.
  • An advance payment (typically 50%) is required before work begins unless otherwise agreed in writing.
  • All payments are to be made in Indian Rupees (₹) via bank transfer, UPI, or other methods specified by VisibleDot.
  • Late payments may attract a delay charge and may result in temporary suspension of services.

5. Intellectual Property

  • Upon full payment, you receive ownership of final deliverables (websites, designs, videos) specifically created for your project, unless otherwise stated.
  • VisibleDot retains the right to use project work in our portfolio, case studies, and marketing materials unless you request otherwise in writing.
  • All proprietary tools, templates, frameworks, and code libraries developed by VisibleDot remain our intellectual property.
  • Third-party assets (stock images, fonts, plugins) are subject to their respective licences.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, analytics data, login credentials, and financial information. This obligation survives the termination of services.

7. Limitation of Liability

  • VisibleDot strives to deliver the best results but does not guarantee specific outcomes such as search engine rankings, lead volumes, or revenue growth, as these depend on many external factors.
  • Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
  • We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

8. Termination

  • Either party may terminate services by providing 15 days' written notice via email.
  • Upon termination, you are required to pay for all work completed up to the date of termination.
  • VisibleDot will hand over all completed deliverables and relevant credentials upon settlement of outstanding payments.

9. Website Use

When using this Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to any part of the Site or its systems.
  • Copy, reproduce, or distribute any content from the Site without prior written consent.
  • Interfere with or disrupt the Site's functionality or security.

10. Third-Party Links

Our Site may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of those websites. Accessing third-party links is at your own risk.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
